MindSpring Announces Public Offering of Common Stock

ATLANTA, Georgia (May 1, 1998) - MindSpring Enterprises, Inc. (Nasdaq:
MSPG) announced that it has filed a Registration Statement with the
Securities and Exchange Commission for the public offering of 1,650,000
shares of the Company's common stock, of which 1,000,000 shares will be new
shares issued by the Company and 650,000 shares will be offered by certain
selling stockholders. The offering is being managed by Donaldson, Lufkin &
Jenrette Securities Corporation, J.C. Bradford & Co., Furman Selz and Wheat
First Union, and currently is expected to be completed in June.
