MindSpring Acquires SBnet Subscribers

ATLANTA (July 14, 1998) - MindSpring Enterprises, Inc. (NASDAQ: MSPG) today announced it has acquired the consumer dial-up Internet subscribers of SBnet, a division of Santa Barbara, California-based Warp 9 Technologies, LLC. MindSpring is a national Internet service provider. Terms of the agreement were not disclosed.
In transitioning to MindSpring's award-winning service, each SBnet subscriber will receive the MindSpring Starter Kit, which includes MindSpring's user access interface and a complete suite of Internet software for Windows 95, Windows 3.x, or Macintosh; a comprehensive User's Guide; and access to MindSpring's 24-hour toll-free technical support service. Transition of the SBnet subscribers should be complete within 60 days.

"MindSpring is proud that Warp 9 has chosen to transfer their SBnet dial-up subscribers to our service," said David Steed, acquisition specialist for MindSpring. "Our broad experience in transitioning acquired accounts means SBnet's subscribers will find the move to MindSpring is seamless."

Warp 9 will resell MindSpring's dial-up services, continue to provide business hosting and e-commerce services, and will retain the SBnet name.

It became apparent that it was in the best interest of our customers and corporate growth for us to focus on one business or the other," said Jon Lei, chief executive officer of Warp 9.
