ARTICLE I NAME

ARTICLE II OFFICERS

Section 1 Officer Selection:

a. All eligible candidates for Treasurer must be selected from a roster of active Boeing employee members. All eligible candidates for President, Vice President and Secretary must be selected from a roster of active members. However, at least two of the four officers must be selected from a roster of active Boeing employee members. Associate members many not hold office.
b. Serving as President, Vice President, Secretary or Treasurer shall be limited to one family member at a time.
c. No officer or trustee shall receive any salary or wages by reason of his office.
d. The offices of President, Vice President, Secretary and Treasurer shall be filled at all times. In the event of a vacancy, these offices shall be filled by appointment or special election.

ARTICLE III DUTIES OF OFFICERS

Section 1 The President Shall:

a. Preside at all business meetings.
b. Be chairman of the Executive Board.
c. Call extra business meetings, appoint committees not otherwise provided for and fill committee and pro tem vacancies.
d. Perform such other duties as the office may require.
e. Perform the duties of the Vice President in the latter's absence.
f. Attend all required meetings of the Boeing Employees' Recreation Council.

Section 2 The Vice President Shall:

a. Perform the duties of the President in the latter's absence.
b. Arrange for various horsemanship events (horseshows, play days, trail rides, parades, etc.), educational clinics and demonstrations, and other events as required.
c. Keep records on all equipment and provide club equipment (timer, barrels, poles, etc.) for club activities.

Section 3 The Secretary Shall:

a. Keep the minutes of all regular business meetings and provide them to the President for his approval prior to them being published in the Newsletter.
b. Keep the minutes of the Executive Board meetings and provide copies to all board members.
c. Establish a committee to publish and disseminate the club's monthly newsletter and maintain a web site. Inputs for the newsletter and web site shall be provided by the officers and committees.
d. Maintain and support a club library with books, publications, tapes, photo albums and other educational items.

Section 4 The Treasurer Shall:

a. Keep an accurate account of all financial transactions of the organization.
b. Be responsible for all funds of the organization, receive and disburse all money, subject to the will of the Executive Board.
c. Make disbursements by check only. A checking account will be set up and no check will be honored by the bank for payment unless signed by the Treasurer or other elected active Boeing employee officer of the organization.
d. Maintain accounts and render monthly financial statements of account balances of the organization.
e. Provide the monthly bank statement to the President for review.
f. Submit an annual financial report to Recreation.
g. Make all financial records meet specifications set by Recreation.
h. Prepare and present an annual budget forecast to Recreation.
i. Plan membership drives and provide the public relations required to promote interest in the club both for prospective members and all Boeing employees.

Section 5

The Boeing Company shall assign a Recreation Advisor who shall serve as an ex-officio member of the Executive Board.

ARTICLE IV COMMITTEES AND BOARDS

Section 1

There shall be an Executive Board and as many committees as determined necessary by the Executive Board.

Section 2 Executive Board:

a. The President, Vice President, Secretary, Treasurer shall constitute this board.
b. The Executive Board shall decide on all expenditures, promotion of activities and the general government of the organization.
c. The Executive Board shall meet at least quarterly. Date and time of the meeting shall be set by the President.

Section 3

Committees may be formed at any time to carry out various phases of the club activities.

ARTICLE V MEETINGS

Section 1

Regular meeting shall be held on a quarterly basis. There will normally be a business meeting the fourth Thursday of March, June and September and an end-of-year banquet in December.

Section 2

Special meetings may be called at any time as approved for in Article III, Section 1, Paragraph c.

ARTICLE VI AMENDMENTS

Section 1

This constitution may be amended by the submission in writing of a proposed amendment at any regular or special meeting of the organization. The proposal shall be received and acted upon at the next succeeding regular meeting of the organization at which there shall be a quorum present, providing Article VI, Section 3, be not violated.

Section 2

Amendments may be acted upon at the announced meeting or by mail ballot. A two-thirds majority of the members voting at the meeting or responding by mail ballot shall be required to adopt or reject an amendment.

Section 3

Notice of the meeting shall be given in the club's newsletter prior to the meeting at which the amendment is voted upon.

Section 4

All proposed amendments to this constitution and by-laws shall be submitted to Recreation for clearance before a vote by the membership.

ARTICLE I MEMBERSHIP

Section 1

Membership shall be open to the following without regard to race, color, gender, sexual orientation, age, religion, national origin, status as a special disabled or Vietnam era veteran or the presence of a disability:
a. Boeing employees and retirees.
b. Spouse and dependents, as determined by the IRS, of Boeing employees and retirees.
c. Government, customer, contract, and vendor personnel assigned full time to support the company, including their spouses and dependents.
d. Up to ten percent (10%) of the total number of members may be associate members. To be eligible as an associate member, an individual must be:
1) an immediate family member of an employee or retiree who is a member of the club. This includes parents, brothers, sisters, or children/stepchildren (beyond dependent status) of employees or retirees. Spouses and dependent children of immediate family members are eligible as well.
2) a former employee (other than a retiree) who after January 1, 2000 voluntarily terminated his/her employment or was previously employed by the company and terminated as a result of a reduction in force. Additionally, former employees must have been employed by the company and been active members of the club for a minimum of 3 consecutive years immediately prior to their application for associate membership. Former employees must provide evidence of their termination status prior to approval of their associate membership.
e. Other non-Boeing individuals proposed for participation that are approved by Recreation and Insurance.

Section 2 Membership Categories

a. Individual:
1) Eligibility requirements Section 1:a and c.
2) Only the individual is a member of the club.
b. Family:
1) Eligibility requirements Section 1:a, b and c.
2) If you are the spouse or the dependent of a Boeing employee or retiree, then a Family membership is required for you to be a member of the club. The Boeing employee or retiree is required to join with a Family membership.
3) All family members are members of the club.
c. Associate:
1) Eligibility requirements Section 1:d and e.
2) Associate members cannot sponsor an immediate family member for associate membership.
3) Advance payment of annual dues is required for each associate membership.
4) An Associate member may not hold office.
5) Associate members shall agree in writing prior to approval of membership to comply with all rules, bylaws, and standards established for the safety and well being of the members of the club.
6) Associate members who violate safety or conduct rules established by Recreation may have their membership revoked by majority vote at any business meeting of the club. Dues will be immediately refunded to the terminated member on a prorated basis. No terminated member shall be eligible for reinstatement of his or her membership.
d. Associate Family:
1) Eligibility requirements Section 1:d and e.
2) If you are the spouse or the dependent of an associate member, then an Associate Family membership is required for you to be an associate member of the club.
3) All family members are associate members of the club.

Section 3

Annual dues shall be established by the Executive Board, subject to approval by the membership.

Section 4

Annual dues cover the time period of January 1 through December 31. Members with unpaid dues after March 31 will be dropped from the membership roster.

Section 5

New members joining prior to October 1 shall pay a full year's dues when joining and then owe dues again on January 1 the following year. New members joining on or after October 1 shall pay a full years dues when joining, but will be considered paid up through the following year.

Section 6

All active members shall sign a Release and Indemnity Agreement as a condition of membership. The agreement will be valid for that membership year.

ARTICLE II QUORUM

ARTICLE III ELECTION OF OFFICERS

Section 1

The offices of President, Vice President, Secretary and Treasurer shall be filled by election.

Section 2

Nominations for officers of the organization shall be made by a Nominating Committee appointed by the President. They shall present a list of nominations to the organization at the September meeting.

Section 3

Elections shall be held at the September meeting by simple majority vote of the members present. When multiple candidates are nominated for a position, voting shall be by secret ballot.

Section 4

Voting eligibility shall consist of one vote per paid-up individual membership and two votes per paid-up family membership.

Section 5

No person is eligible to hold office that is not an active member of the organization.

Section 6

No member is eligible to hold more than one elective office at a time or be retained in office more than two successive terms. Circumstances may warrant deviation from officer term limits. Exceptions to officer term limits must be approved by the existing executive board and a Boeing Recreation Advisor.

Section 7

Special elections in the event of office vacancies may be held at any time.

Section 8

An officer departing office by reason of layoff shall remain in office for up to 60 days or until a replacement is selected.

Section 9

The officers' terms of office shall begin at 12:01 a.m. on January 1.

ARTICLE IV GENERAL PROVISIONS

Section 1

Property or equipment purchased by the Boeing Employees' Saddle Club with the Boeing Employees' Saddle Club funds shall be considered club property and not the property of any individual member or group of members.
a. As club property, it may be entrusted to the custodial care of Recreation.
b. In the event of the Boeing Employees' Saddle Club disbanding, club property shall revert to Recreation, to be handled in a suitable manner until further group interest and use is indicated.

Section 2

Club expenditures of funds for the acquisition of real property or other assets of a capital nature shall be approved by Recreation.

Section 3

The fiscal year for the Boeing Employees' Saddle Club shall be from January 1 to December 31, inclusive. All budgeting and financial accounting shall be rendered on this basis.

Section 4

All official business shall be conducted in accordance with Roberts Rules of Order. The President may serve as Parliamentarian, or may at his discretion appoint a Parliamentarian. The decision of the Parliamentarian shall be final in all questions of procedure.

Section 5

Wherever the masculine gender is used herein, the feminine shall be deemed included. Wherever the singular form is used herein, the plural shall be deemed included to aid in the interpretation to the sense intended.

Section 6

When the President is absent at a Business Meeting, the next highest officer in attendance as listed in Article II will preside. In the absence of any other officer necessary to conduct the business of the meeting, the officer presiding may appoint a member at large to fill the absence.
